AUSTRAC DCE Registered Company for Sale — Australian Crypto Company

Digital currency exchange (DCE) providers must register with AUSTRAC under the AML/CTF Act 2006 before operating in Australia. We source AUSTRAC-registered companies off-market for qualified buyers — register your requirement below.

What the registration permits

DCE registration allows a business to exchange digital currency for money (and vice versa) in Australia. It is an AML/CTF registration administered by AUSTRAC, not a financial services licence. Registration is renewed every three years. Businesses whose crypto products are financial products may also need an Australian Financial Services Licence from ASIC, and Australia has proposed reforms toward a broader digital asset platform licensing regime under ASIC.

Change of ownership

The registration stays with the registered entity. When ownership, key personnel or other registration details change, the business must update AUSTRAC within the required period, and AUSTRAC can consider whether the new owners and key personnel are suitable. AUSTRAC may refuse, suspend, cancel or impose conditions on a registration.

Typical timeline

Because a share purchase does not require prior approval in the way an AFSL change of control can, the deal timeline is usually driven by due diligence, updating AUSTRAC and moving banking and on-ramp partners across to the new owners.

What to check in due diligence

  • Registration status, renewal date and any conditions imposed by AUSTRAC
  • The AML/CTF programme, independent review and enrolment details
  • Threshold transaction, suspicious matter and international funds transfer reporting history
  • Any AUSTRAC correspondence, compliance notices or enforcement
  • Whether the product set needs an AFSL, and readiness for the proposed ASIC reforms
  • Bank accounts and fiat on-ramp partners
