Hong Kong Money Lender Licence Company for Sale

A Hong Kong money lenders licence is granted under the Money Lenders Ordinance (Cap. 163) by the Licensing Court, with applications processed by the Registrar of Money Lenders and vetted by the police. We source licensed companies off-market for qualified buyers — register your requirement below.

What the licence permits

A money lenders licence allows a company to carry on a business of lending money in Hong Kong. It does not permit deposit-taking. Licences are renewed annually, and each renewal goes through the Registrar of Money Lenders and police vetting again. Businesses offering remittance or money changing need a separate Money Service Operator (MSO) licence from the Customs and Excise Department under the AMLO (Cap. 615).

Change of directors and shareholders

The licence is held by the company, but changes to its directors, shareholders or other licence particulars must be notified to, and in some cases approved by, the Registrar of Money Lenders. Incoming directors and controllers are vetted, and licence conditions require the business to keep its particulars up to date. Buyers should plan the change so that it is reported correctly and does not jeopardise the next annual renewal.

Typical timeline

The share transfer itself can be quick. The practical timeline is set by the notification or approval of new directors and shareholders and by the position of the next annual renewal, which buyers should check before signing.

What to check in due diligence

  • Licence number, conditions and expiry date of the current licence period
  • History of renewals, objections and any Registrar or police correspondence
  • Compliance with the Money Lenders Ordinance, including interest-rate limits and loan documentation
  • AML/CTF procedures and record keeping
  • The loan book, if any, and complaint history
  • Whether an MSO licence is also needed for the intended business
