Description

An institutional financial services group is pursuing a phased acquisition programme across four key payment jurisdictions. Zitadelle Advisory Group is managing the acquisition search. The buyer is willing to acquire targets individually or in combination. The buyer is a regulated financial services group with operations across Asia and Europe; the acquisition programme is board-approved and funded, and a phased timeline allows individual targets to close independently of others. Specific Requirements

• Group 1 (short-term): Singapore Major Payment Institution (MPI) — MAS-licensed under the Payment Services Act 2019, active operations preferred, standalone target strongly preferred
• Group 1 (short-term): Hong Kong Money Service Operator (MSO) and/or Stored Value Facility (SVF) licence — active or dormant considered, VAT registration a plus
• Group 2 (medium-term): UK FCA Authorised EMI — can be part of a larger licence bundle
• Group 2 (medium-term): Canada RPAA PSP registration with the Bank of Canada — can be part of a larger licence bundle; can accompany an existing FINTRAC MSB registration
• Operational or dormant entities considered
• Targets may close individually or as a bundle

Target Jurisdictions in Detail

• Singapore MPI — account issuance, domestic and cross-border money transfer, e-money issuance, digital payment token services, and merchant acquisition
• Hong Kong MSO — currency exchange and remittance; SVF — issuance and management of stored value products (prepaid cards, e-wallets)
• UK EMI — e-money issuance, payment accounts, SEPA/Faster Payments access, and IBAN issuance
• Canada RPAA PSP — Bank of Canada registration required for PSPs conducting payment functions in Canada (in force 2024)
